Norwegian Authority Issues $3.1 Million Fine Notice to Schlumberger Over Incorrect Merger Filing

Bergen, February 19, 2026 — The Norwegian Competition Authority (Konkurransetilsynet) has issued a notice of a NOK 30 million (approximately $3.1 million) fine against Schlumberger for allegedly providing incorrect information in its notification of an acquisition.

The authority said the company supplied inaccurate or incomplete details in its January 21, 2025, filing concerning Schlumberger’s acquisition of 100% of the shares in ChampionX.

According to the notice, the information in question related to the parties’ ranking in previous tender competitions for production chemicals and details about the types of products Schlumberger uses in its drilling services on the Norwegian continental shelf. During its review, the authority became aware that parts of this information did not correspond to the factual situation. The authority stated that the information was relevant to its assessment of the transaction.

“ The duty to provide correct and complete information to the Norwegian Competition Authority is fundamental for the authority to enforce the Competition Act and to conduct effective control of mergers and acquisitions,” Director General Mads Magnussen said.

Under the Competition Act, a company may be fined up to 1% of its turnover for providing incorrect or incomplete information to the authority.

“ The Norwegian Competition Authority is subject to short deadlines in such cases, and it is therefore crucial that we can rely on the information provided being correct and complete,” said Marita Mæland Skjæveland, head of department at the authority.

“ Potential harm is significant, as the authority may make decisions on an incorrect basis. We therefore take such cases seriously. To ensure that the fine has a sufficient deterrent effect, and thereby contributes to effective merger control, we have signaled a substantial fine,” Magnussen added.

The authority emphasized that the assessments presented in the notice are preliminary and that no final decision has been adopted. Schlumberger has until March 19 to submit its comments before the authority decides whether to impose the fine.
