Ukraine’s AMCU Fines TB Fruit $929K for Gun-Jumping Violations

Kyiv, October 31, 2025 — The Ukrainian Antimonopoly Committee (AMCU) has fined juice manufacturer TB Fruit Capital a total of UAH 39.1 million (approximately $929,814) for completing several acquisitions without the authority’s prior approval.

The AMCU found that in July 2021, TB Fruit Capital acquired 100% stakes in four companies — Arsenal Investgroup Khmelnytskyi, Arsenal Investgroup Vinnytsia, Arsenal Investgroup, and Arsenal Investgroup Horodok — without first obtaining clearance from the Committee, as required under Ukrainian competition law.

According to the authority, the transactions constituted concentrations that needed AMCU approval under Article 24 of the Law on Protection of Economic Competition, which prohibits implementing such deals before clearance is granted. After investigating, the Committee concluded that TB Fruit Capital had violated point 12 of Article 50 of the Law by carrying out the unnotified acquisitions. As a result, the company was fined UAH 39,103,231 across four separate cases.
