New Zealand Authority Raises Concerns in Kegstar–Konvoy Deal

Wellington, September 25, 2025 — The New Zealand Commerce Commission (CC) has raised serious competition concerns over Kegstar’s proposed acquisition of Konvoy’s keg assets, warning the deal could create a monopoly in the domestic market for keg rental and logistics services.

In a Statement of Issues, the regulator said its preliminary view is that the transaction could likely substantially lessen competition in national markets for pay-per-fill (PPF) keg services to breweries. PPF providers supply kegs, manage returns, and oversee maintenance on a per-use basis, offering a flexible alternative to brewers owning their own fleets.

Kegstar and Konvoy are the only two PPF service providers in New Zealand, following Konvoy’s acquisition of Red Kegs in 2020. The CC said the pair are each other’s closest competitors, and their rivalry has driven down prices and lifted service quality since Konvoy entered the market five years ago.

Eliminating that competition, the authority warned, would likely give Kegstar the ability to raise prices or reduce service quality. It found little evidence that other keg leasing or logistics firms could expand into PPF services, and dismissed plastic kegs or increased use of cans and bottles as viable substitutes for most brewers.

The regulator’s investigation found that small and medium brewers without their own pubs are the most dependent on PPF solutions, facing significant barriers to self-supplying kegs due to capital costs and logistical challenges. Some microbrewers and larger players with owned venues may have more flexibility, but the CC said many brewers would be “captive customers” vulnerable to targeted price increases.

The CC was scheduled to make a decision by 19 September, however, an extension of time has been agreed between the authority and Kegstar. The new decision date is 4 December and CC is inviting submissions from industry participants by 16 October, with cross-submissions due two weeks later.

The proposed deal also includes Kegstar’s acquisition of Konvoy assets in Australia, which is under separate review by the Australian Competition and Consumer Commission.
