EU Opens In-Depth Probe into UMG’s Proposed Acquisition of Downtown

Brussels, 22 July 2025 — The European Commission has launched an in-depth investigation into Universal Music Group’s (UMG) proposed acquisition of Downtown, citing preliminary concerns that the deal could harm competition in Europe’s music distribution and artist services markets.

The Commission fears the merger could give UMG access to commercially sensitive data from rival labels via Downtown’s distribution platform FUGA, potentially strengthening its dominant position in the wholesale recorded music market across the European Economic Area (EEA). It also warned that removing Downtown from the competitive landscape could significantly weaken competition in the artist and label (A&L) services sector, which includes distribution, monetisation, and promotional tools for independent labels and artists.

“The opening of an in-depth investigation will allow us to assess more carefully whether this acquisition would have a negative impact on artists, labels and, ultimately, European consumers,” said Valdis Dombrovskis, Commissioner for Economy and Productivity.

Although the deal did not meet the EU’s merger thresholds, it was referred to Brussels following requests by Dutch and Austrian regulators. The Commission now has until 26 November 2025 to reach a final decision.
