Vilnius, 21 May 2025 — Lithuania’s Competition Council has conditionally approved Saferoad Baltic’s acquisition of 100% of shares in Gatas, granting clearance for the deal after the company agreed to a set of binding commitments aimed at preserving fair competition in the market for road barrier systems.
The watchdog concluded that the merger—combining Saferoad Baltic’s road barrier sales business with Gatas’s installation and maintenance services—could harm competition by restricting access to road barriers for rival service providers and increasing prices in an already concentrated market. Concerns also included potential improper sharing of confidential commercial information between the two entities.
To address these concerns, Saferoad Baltic pledged to sell road barrier systems to all competitors of Gatas on fair, equal, and non-discriminatory terms. The company also committed to strict information separation between its sales and installation businesses. Following stakeholder feedback, the commitments were further strengthened with a requirement that Gatas receive the same terms as any other buyer if different sales conditions are applied.
The Competition Council concluded that these measures, if properly implemented, would eliminate the risks identified. An independent trustee will be appointed to monitor compliance with the commitments.
The Council’s decision may be appealed within a month, and a non-confidential version of the resolution will be published on its website.
