February 25, 2025 – Spain’s National Commission for Markets and Competition (CNMC) has escalated its review of Esseco’s acquisition of Ercros to a second-phase analysis due to potential competition risks in the potassium hydroxide and potassium carbonate markets.
Esseco’s hostile takeover bid for Ercros, initially notified on June 28, 2024, raises concerns about market concentration in the chemical sector. The second-phase review will conduct a more detailed assessment of market impacts, allowing Ercros, Esseco, and third parties to present objections and additional information.
The CNMC’s final decision may approve the merger, impose conditions, or prohibit the transaction.
