Singapore Regulator Flags Competition Concerns in Proposed Marina Deal

SINGAPORE, April 27, 2026 — The Competition and Consumer Commission of Singapore has raised preliminary competition concerns over a proposed transaction in which SUTL Enterprise Ltd, through its subsidiary One15 Marina KB Pte. Ltd., plans to acquire the property and assets of the Marina at Keppel Bay from Keppel Bay Pte Ltd.

The authority said its Phase 1 review identified potential competition issues that could arise if the deal proceeds.

Overlap in premium marina services

SUTL operates ONE°15 Marina Sentosa Cove, a premium marina offering berthing facilities and clubhouse amenities for yacht and boat owners in Singapore.

The proposed acquisition would see the company take over operations of Marina at Keppel Bay, another high-end marina located nearby.

According to the regulator, the main overlap between the parties lies in the supply of marina berths in Singapore.

Preliminary concerns

Following feedback from third parties and information provided by the companies, the authority said the transaction could reduce competition in the market for marina berthing services.

Key concerns identified include:

  • The two marinas may be each other’s closest competitors due to their proximity and similar positioning.
  • The merged operator would hold significant market shares after the deal.
  • Other marinas may not provide sufficiently strong alternatives to constrain the merged entity.

The authority said these factors suggest the transaction could increase the merged operator’s ability to raise prices or reduce service quality for marina customers.

Next steps in the review

The merging parties now have the option to offer commitments to address the regulator’s concerns.

If no remedies are proposed, the authority will move the case to a more detailed Phase 2 investigation, which involves a deeper analysis of the competitive effects of the transaction.

Under Singapore’s merger control regime, authorities assess whether a transaction could lead to a substantial lessening of competition in the market.
