Hong Kong Competition Commission Consults on Keeta Commitments in Food Delivery Probe

HONG KONG, April 29, 2026 — The Competition Commission of Hong Kong has launched a public consultation on a proposed set of commitments offered by Kangaroo Limited, aimed at addressing concerns over potentially anti-competitive provisions in its agreements with restaurants.

The authority said the commitments could resolve concerns that certain contractual terms used by Keeta, one of Hong Kong’s leading online food delivery platforms, may have restricted competition by limiting restaurants’ ability to work with rival platforms.

Concerns over exclusivity provisions

The case relates to provisions in Keeta’s agreements with partner restaurants that the regulator believes could hinder the entry and expansion of new or smaller delivery platforms, potentially breaching the First Conduct Rule of the Competition Ordinance.

The commitments form the second stage of a two-step process agreed between Keeta and the regulator after discussions that began in 2025.

Under the first step, Keeta voluntarily amended certain contract provisions, changes that the company confirmed came into effect in early April 2026.

Proposed commitments

In the second step, Keeta has offered legally binding commitments that would further revise its contractual terms with restaurants.

The proposals include:

  • allowing restaurants to partner with new or small delivery platforms without losing commercial incentives, such as lower commission rates tied to exclusivity;
  • making it easier for restaurants to shift from exclusive arrangements with Keeta to working with multiple platforms; and
  • removing provisions that prevent restaurants from offering lower menu prices on their own direct sales channels or on competing delivery platforms.

If accepted, the commitments would become legally binding and enforceable under Hong Kong’s competition law, with reporting and monitoring mechanisms in place to ensure compliance.

Public consultation

The Competition Commission said it believes the proposed commitments would adequately address its concerns and is now seeking feedback from market participants and other interested parties.

Submissions on the proposal must be filed by 12 May 2026, after which the authority will decide whether to formally accept the commitments.
