Romanian Competition Council Clears Sameday’s Acquisition of Cargus with Conditions

BUCHAREST, April 2026 — The Competition Council of Romania has approved the acquisition of Cargus by Delivery Solutions S.A., subject to a series of commitments designed to address competition concerns in the courier and parcel delivery sector.

Following its review, the authority identified several potential risks linked to the transaction. These included the treatment of Cargus customers with existing contracts, the strengthening of Sameday’s parcel locker network, possible competitive effects arising from Sameday’s links with the eMAG group, and the risk that commercially sensitive information belonging to rival couriers using the eMAG marketplace could be accessed by the platform.

To address these concerns, Sameday committed to maintain the commercial terms of contracts currently held by Cargus customers for 12 months after the approval decision. Contracts may still be terminated under certain conditions, but only with a minimum notice period of three months.

The company has also agreed to divest the parcel locker business currently operated by Cargus to a suitable buyer. The structural remedy aims to ensure that the lockers business is transferred as a viable and independent operation, allowing a separate competitor to continue operating in the market.

In addition, eMAG will introduce a transparent and non-discriminatory procedure governing courier access to its marketplace platform. The system will set out objective criteria for integration and order allocation—such as delivery costs, speed, territorial coverage and operational efficiency—as well as uniform performance indicators and rules governing interactions between couriers and eMAG staff.

To prevent the sharing of commercially sensitive data, Sameday has also committed to strengthening internal compliance procedures and informing customers not to include confidential information in shipment documentation fields that could be accessible to the platform.

Compliance with the commitments will be monitored by an independent trustee for up to three years, who will submit regular reports to the competition authority. Under Romanian competition law, failure to comply with the remedies could lead to fines of up to 10% of the company’s total turnover in the preceding financial year.
