New Zealand Releases Issues Statement on Beijer Ref Acquisition of Refspecs

WELLINGTON, March 31, 2026 — The Commerce Commission has published a statement of issues outlining potential competition concerns related to the proposed acquisition of Refrigeration Specialties Limited by Beijer Ref Holdings Limited.

The document summarises the regulator’s preliminary competition concerns following its initial investigation into the deal but does not represent a final decision on whether the merger will be cleared.

Both companies operate as wholesalers supplying refrigeration and air-conditioning equipment, spare parts and refrigerant gases to trade customers such as installers, service technicians and maintenance providers.

The authority is seeking submissions from the merging parties and other interested stakeholders on the issues identified in the statement. Submissions are due by April 16, 2026, with cross-submissions accepted until April 23.

The regulator said it is currently scheduled to reach a decision on the transaction by June 9, 2026, although the timeline could be extended if more information is required to assess whether the merger could substantially lessen competition in New Zealand markets.
