Lithuanian Authority Confirms Ekspress Grupp’s Compliance With Divestment Commitments

Vilnius, January 8, 2026 — The Lithuanian authority has confirmed that Estonian media group Ekspress Grupp has properly fulfilled the commitments imposed in connection with its transaction involving the news portal lrytas.lt.

According to the authority, Ekspress Grupp completed the divestment of 100 percent of the shares in Lrytas, the company operating the lrytas.lt portal, to Admisa, in line with the conditions set out in the share purchase agreement. Both the draft agreement and the proposed buyer were approved by the Lithuanian authority in December 2025.

Commitment Structure

As part of the commitments, Ekspress Grupp also undertook not to reacquire shares or the business of Lrytas for a period of ten years without prior notification to the Lithuanian authority. Any such notification would trigger a fresh assessment to determine whether clearance should be granted or whether the commitment could be lifted, depending on market conditions in the news portal sector at the time.

The authority noted that the commitment would cease to apply if a court were to issue a final ruling finding that the authority had acted without justification when it determined, in December 2023, that Ekspress Grupp had breached the Competition Law by failing to notify the transaction, or when it refused clearance for the transaction in February 2025.
