UK Competition Authority Updates Merger Remedies Guidance to Sharpen Focus on Effectiveness

LONDON, Dec. 19, 2025 —
The UK Competition and Markets Authority has published revised guidance on merger remedies, signalling a refined approach to how it addresses competition concerns arising from mergers.

The updated guidance follows a formal review launched in March and a consultation with businesses, advisers and other stakeholders. The CMA said the changes clarify how it assesses the effectiveness and proportionality of remedies, balances behavioural and structural solutions—including complex divestments—and makes use of remedies at Phase 1 of merger reviews. The guidance also sets out a more structured approach to appointing trustees and independent experts to oversee compliance.

The CMA said the revisions are intended to provide greater certainty and transparency for businesses and investors, while ensuring that remedies imposed in merger cases effectively preserve competition. The authority added that it plans to embed the new approach in its investigations in 2026 and will further examine how efficiencies should be assessed in merger cases.
