Slovak Authority Consults on Merger Call-in Power to Review Below-Threshold Deals

Bratislava, October 1, 2025 — The Antimonopoly Office of the Slovak Republic (AMO) has launched a public consultation on the revision of merger notification criteria, including provision for a supplementary “call-in” mechanism.

The AMO noted that the existing turnover-based thresholds used to determine whether mergers must be notified often fail to capture potentially problematic deals, such as acquisitions of startups or incremental takeovers of smaller competitors.

To address these gaps, the authority is proposing the introduction of a supplementary “call-in” mechanism, which would allow the AMO to review transactions that fall below traditional notification thresholds but may nonetheless raise competition concerns.

The current turnover criteria does not adequately reflect the evolving dynamics of modern markets, the authority said, emphasizing that the reform aims to make oversight more flexible and forward-looking.

The consultation invites comments, questions, and suggestions regarding the proposed criteria and the broader effectiveness of the Slovak merger control system. Submissions are open from October 1 to December 31, 2025.
