China Approves Keysight’s Acquisition of Spirent with Conditions

Beijing, September 28, 2025 – China’s State Administration for Market Regulation (SAMR) has granted conditional approval for Keysight Technologies’ proposed acquisition of Spirent Communications, with divestment remedies to address concerns in the domestic communications testing market.

The deal involves two major international suppliers of communications testing products, key technologies used to evaluate and ensure the performance, interoperability, and security of high-speed networks. According to SAMR, the merger would have further strengthened Keysight’s market control in both the high-speed Ethernet testing and network security testing segments in China.

To mitigate these concerns, the regulator required Keysight to divest businesses with significant competition concerns.

“Conditional approval ensures that other suppliers of communications testing products can continue to compete on a level playing field,” SAMR said in its decision. “It also protects the choice and interests of downstream customers, such as telecommunications operators, and fosters a fair and orderly environment for the global communications industry.”

SAMR stated that it will closely supervise and guide both Keysight and Spirent in implementing the conditions attached to the approval.
