Wabtec/Dellner Merger Under Extended Review Amid Competition Concerns in Vienna

Vienna, May 28, 2025 — The Austrian Federal Competition Authority (Bundeswettbewerbsbehörde, BWB) has escalated its examination of the proposed merger between Westinghouse Air Brake Technologies Corp (Wabtec) and Couplers HoldCo AB (Dellner) by filing an application for a detailed review with the Vienna Cartel Court.

The merger was initially notified on April 18, 2025, with a Phase I review deadline extended to May 30, 2025, following a request from the notifying party. However, due to significant competition concerns, the BWB concluded that the merger cannot be cleared in the preliminary phase.

Wabtec aims to indirectly acquire full control of Dellner, both major players in the rail vehicle manufacturing sector.

The BWB’s investigation included extensive data collection and surveys of customers, competitors, and other market participants. The authority expressed concerns over a potential significant reduction in competition, which could lead to higher prices and less innovation.

The merger would further strengthen the combined entity’s already substantial market position and exacerbate high entry barriers for new competitors.

Consequently, the BWB has formally requested the Vienna Cartel Court to conduct an in-depth Phase II review before a final decision on the merger is made.
