CADE Sets Record for Merger Notifications in 2024, Analyzing $184 billion in Transactions

The Brazilian Antitrust Authority (CADE) announced a historic milestone in 2024, recording 712 merger notifications—a nearly 20% increase from 2023. The total value of transactions reviewed by the agency reached an unprecedented R$1.1 trillion (USD 184,140,000,000) underscoring CADE’s growing importance in maintaining competitive markets in Brazil.

Key Sectors Driving Notifications
Merger activity surged in industries critical to Brazil’s economy, including:

  • Electricity generation
  • Oil and natural gas extraction
  • Real estate development
  • Retail and wholesale trade

Efficiency Improvements
CADE also reported significant efficiency gains in processing times. The average review period for ordinary merger cases dropped from 11.7 days in 2023 to 9.4 days in 2024, while summary cases were analyzed in just 1.5 days on average. Overall, the agency’s processing time for all cases averaged 2.2 days.

General Superintendent Alexandre Barreto attributed these improvements to internal reforms and the adoption of e-Notifica, a digital tool launched in 2024. By integrating with public databases, e-Notifica streamlines the submission and analysis process, allowing CADE to process summary merger cases with record speed.

Streamlined Reviews with High Standards
Despite these efficiencies, Barreto emphasized that the agency remains rigorous in its reviews:
“Our goal is to optimize the analysis process, especially for summary cases that demand quick and precise decisions. However, approvals adhere strictly to the legislation, which requires complete documentation from the parties involved.”

CADE’s analysis includes assessing market share, competitor rivalry, and sector-specific economic factors. Companies are required to notify CADE if they meet the revenue thresholds of R$750 million for one group and R$75 million for the other in the year preceding the transaction.
