China Issues Guidelines to Enhance Review of Horizontal Mergers

On December 20, 2024, China’s State Administration for Market Regulation (SAMR) released the “Guidelines for the Review of Horizontal Concentration of Operators”, marking a significant step in modernizing and standardizing antitrust oversight in the country. The new guidelines aim to align China’s competition review mechanisms with international best practices while addressing the growing complexity of merger and acquisition activities.

Key Features of the Guidelines

The comprehensive document consists of 12 chapters, 87 articles, and 29 case studies, offering a detailed framework for evaluating the competitive impact of horizontal concentrations—mergers between businesses operating in the same market.

The guidelines were formulated under the Anti-monopoly Law of the People’s Republic of China and related regulations. They integrate China’s extensive experience from reviewing over 3,000 horizontal merger cases since 2008 while incorporating globally recognized principles of merger review.
