Indonesia Opens Trial Over TikTok’s Alleged Delay in Notifying Tokopedia Acquisition

Indonesia’s Competition Commission (KPPU) has opened a formal hearing into allegations that TikTok delayed notifying the authority about its acquisition of Tokopedia shares. The hearing, which began on July 22 at KPPU’s Jakarta office, marks the start of proceedings into a suspected 88-working-day delay in submitting the required merger notification.

The case centers on TikTok Nusantara (SG) Pte. Ltd.’s acquisition of a 75.01% stake in Tokopedia, finalized on January 31, 2024. Under Indonesian competition law, parties to qualifying mergers must notify KPPU within 30 working days of the transaction’s legal completion. Investigators argue TikTok failed to do so, triggering a potential breach of Article 29 of Law No. 5/1999.

While KPPU had conditionally approved the transaction in June 2025, this separate proceeding focuses specifically on the timeliness of the notification, not the substance of the deal. The next hearing is scheduled for August 5, when TikTok is expected to respond to the findings.

The acquisition, which also involved a restructuring of ownership with GoTo retaining 24.99% of Tokopedia, was intended to help TikTok re-enter Indonesia’s e-commerce market in partnership with a local player, separating its social media and shopping functions.

If found in violation, TikTok could face administrative sanctions under Indonesian competition law.
