Turkey’s Competition Board Clears Stellantis–Tofaş Deal with Commitments

Istanbul, April 18, 2025 – Turkey’s Competition Board has granted approval for Stellantis’s acquisition of a controlling stake in domestic automaker Tofaş, marking the first time clearance has been conditioned explicitly on a detailed investment plan. Under the Board’s decision, Tofaş will significantly increase its production and export capacity, a commitment expected to bolster employment and strengthen both the Turkish automotive sector and its suppliers.

In addition to the investment pledge, Stellantis and Tofaş have agreed to measures safeguarding the independence of competing brands within their sales network. These distribution commitments are designed to prevent dealers from becoming exclusive “one-stop shops” and to ensure consumers continue to enjoy a broad choice of vehicles on offer. The Board’s endorsement reflects a shift from traditional, static price-and-output analyses toward a “dynamic welfare” approach that weighs long-term benefits such as innovation and market resilience.

This ruling follows the Board’s earlier rejection of an initial commitments package in October 2024, after which regulators solicited extensive feedback from rival firms and third parties. By addressing each concern in its comprehensive review, the Competition Board has set a new precedent for conditional merger approvals—demonstrating how regulatory authorities can foster investment and preserve competition simultaneously.
